- ACCEPTANCE OF TERMS
Welcome to The Platform LLC (“The Platform,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website at www.theplatform-studio.com, mobile applications, and all related services (collectively, the “Services”) operated by The Platform LLC, a boutique fitness studio located at 420 E 4th St, Long Beach, CA 90803.
By accessing or using our Services, creating an account, booking classes, or visiting our studio, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not use our Services.
1.1 Document Integration
These Terms work in conjunction with:
- The Platform Membership Terms (for membership-specific agreements).
- The Platform Exercise Waiver and Liability Release (required for class participation).
- The Platform Privacy Policy (governing data collection and use).
- The Platform Cancellation Policy (governing class booking and cancellation procedures).
In case of conflicts between documents, the most specific document governing the particular subject
matter shall prevail.
- DESCRIPTION OF SERVICES
The Platform operates a boutique fitness studio offering:
- Group fitness classes and training sessions.
- Online class booking and scheduling system.
- Mobile application for member services.
- Studio amenities including lockers, changing rooms, and showers.
- Membership programs and class packages.
- Virtual fitness services (when available).
Our Services are designed to provide fitness and wellness programs in a safe, professional environment.
All fitness activities require execution of a separate waiver agreement.
- ELIGIBILITY AND USER ACCOUNTS
3.1 Age Requirements
- 18+ years: May create accounts and enter into agreements independently.
- 16-17 years: May use Services with parental consent and supervision as outlined in our waiver.
- 13-15 years: Restricted to youth programs with parental consent and presence requirements.
- Under 13: Require parental presence during all sessions per our minor participant policies.
3.2 Account Registration
To use certain Services, you must create an account providing: - Accurate personal information (name, email, phone, emergency contact).
- Valid payment method for applicable fees.
- Acceptance of all required agreements and policies.
3.3 Account Responsibilities
You are responsible for: - Maintaining confidentiality of your account credentials.
- All activities that occur under your account.
- Promptly updating account information when changes occur.
- Notifying us immediately of any unauthorized account use.
- ACCEPTABLE USE POLICY
4.1 Permitted Uses
You may use our Services to:
- Book and manage fitness class reservations.
- Access member account information and services.
- Communicate with The Platform staff regarding services.
- Participate in fitness classes and use studio amenities per our policies.
4.2 Prohibited Conduct
You may not:
- Share, transfer, or sell your account access to others.
- Attempt to gain unauthorized access to our systems or other user accounts.
- Upload, transmit, or distribute any harmful, offensive, or inappropriate content.
- Interfere with or disrupt the Services or servers/networks connected to the Services.
- Use automated systems (bots, scripts) to access or interact with our Services.
- Harass, threaten, or discriminate against other users or staff.
- Violate any applicable local, state, or federal laws.
4.3 Studio Conduct
Physical presence at our studio requires compliance with: - All posted safety rules and staff instructions.
- Appropriate fitness attire and hygiene standards.
- Respectful behavior toward other members, staff, and property.
- Age-specific restrictions and supervision requirements.
Use Services for any unlawful purpose or in violation of these Terms.
- INTELLECTUAL PROPERTY RIGHTS
5.1 Our Content
The Platform retains all rights to:
- Website design, software, and mobile applications.
- Class formats, routines, and instructional content.
- The Platform name, logos, and branding materials.
- All text, graphics, images, videos, and audio content on our Services.
- Proprietary fitness methodologies and training programs.
5.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to: - Access and use our Services for personal, non-commercial purposes.
- Download our mobile application for your personal use.
- Use class booking and member account features as intended.
5.3 User Content
By using our Services, you may provide content such as: - Profile information and photos.
- Reviews, comments, or feedback.
- Social media posts referencing our Services.
You grant The Platform a royalty-free, worldwide license to use, display, and distribute such content for
business purposes, including marketing and promotional activities.
5.4 Copyright Protection
We respect intellectual property rights. To report copyright infringement, contact us at info@theplatform-studio.com with detailed information about the alleged infringement.
- PRIVACY AND DATA PROTECTION
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

- PAYMENT TERMS AND BILLING
7.1 General Payment Obligations
Payment terms for memberships, classes, and services are governed by our Membership Terms. By using paid Services, you agree to:
- Provide accurate payment information.
- Pay all applicable fees and charges.
- Maintain current payment methods on file.
- Comply with all billing and payment policies.
7.2 Pricing and Fees - All prices are subject to change with reasonable notice.
- Promotional pricing may have specific terms and expiration dates.
- Additional fees may apply for special services, late payments, or policy violations.
- All fees are in U.S. dollars unless otherwise specified.
7.3 Refund Policy
Refunds are governed by our Membership Terms and Cancellation Policy. Generally: - Class cancellations follow our 8-hour cancellation policy.
- Membership cancellations require advance notice per Membership Terms.
- Special circumstances may qualify for exceptions as outlined in our policies.
- CLASS BOOKING AND CANCELLATION
All class booking, cancellation, and related fee policies are governed by our separate Cancellation Policy document. Key points include:
- 8-hour cancellation window for penalty-free cancellations.
- Early morning classes (Monday-Friday before 6:30 AM): 10 PM cutoff the night before.
- Standardized fees for late cancellations ($20) and no-shows ($25).
- Waitlist confirmation required after 8-hour window: Must reply “1” to confirm.
- Multiple cancellation methods available (online, phone, email, in-person).
- Waitlist management with automatic enrollment procedures.
- Emergency exceptions for documented qualifying circumstances.

- DISCLAIMERS AND LIMITATIONS OF LIABILITY
9.1 Service Availability
- Services are provided “as is” and “as available”.
- We do not guarantee uninterrupted or error-free operation.
- Scheduled maintenance may temporarily limit access.
- Service modifications may occur with reasonable notice.
9.2 Fitness Activity Risks - All fitness activities involve inherent risks of injury.
- Participation requires execution of a separate liability waiver.
- We recommend medical consultation before beginning any fitness program.
- You participate in all activities at your own risk.
9.3 Limitation of Liability
To the maximum extent permitted by law, The Platform shall not be liable for: - Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, data, use, goodwill, or other intangible losses.
- Damages resulting from unauthorized access to or alteration of your data.
- Damages resulting from any conduct or content of third parties.
Our total liability for any claims shall not exceed the amount you paid to us in the 12 months preceding the claim.
9.4 Technology Disclaimers - Mobile applications and website functionality may vary by device.
- Internet connectivity issues may affect service access.
- We are not responsible for third-party software or hardware malfunctions.
- Data transmission security cannot be guaranteed across all networks.
- INDEMNIFICATION
You agree to indemnify, defend, and hold harmless The Platform, its officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of the Services or violation of these Terms.
- Your violation of any rights of another party.
- Your violation of any applicable laws or regulations.
- Your conduct at The Platform studio or during virtual services.
- Any content you submit, post, or transmit through the Services.
- TERMINATION
You may terminate your account at any time by:
- Following the cancellation procedures in our Membership Terms.
- Contacting us at info@theplatform-studio.com.
- Providing required advance notice per our policies.
11.1 Termination by The Platform
We may terminate or suspend your access immediately, without prior notice, for: - Violation of these Terms or other policies.
- Conduct that endangers the safety or wellbeing of others.
- Fraudulent or illegal activity.
- Non-payment of fees or charges.
- Any reason at our sole discretion with appropriate notice.
11.2 Effect of Termination
Upon termination: - Your right to use the Services ceases immediately.
- Outstanding obligations survive termination.
- Data retention follows our Privacy Policy guidelines.
- Refunds, if any, are governed by our existing policies.
- DISPUTE RESOLUTION
12.1 Informal Resolution
Before pursuing formal legal action, please contact us at info@theplatform-studio.com to attempt informal resolution of any disputes.
12.2 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
12.3 Jurisdiction and Venue
Any legal action relating to these Terms must be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction and venue in these courts.
12.4 Limitation Period
Any claim or cause of action arising under these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be forever barred. - GENERAL LEGAL TERMS
13.1 Entire Agreement
These Terms, together with our Privacy Policy, Membership Terms, Cancellation Policy, and Waiver,constitute the entire agreement between you and The Platform regarding use of the Services.
13.2 Modifications
We may update these Terms periodically. Material changes will be communicated via:
- Email notification to registered users.
- Prominent notice on our website.
- In-studio posting.
Continued use of the Services after notice constitutes acceptance of modified Terms.
13.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
13.4 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
13.5 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
13.6 Force Majeure
The Platform is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or public health emergencies.

By purchasing a Membership, you are agreeing to the terms outlined below.
- MEMBERSHIP AGREEMENT
This Membership Agreement (“Agreement” or “Membership Agreement”) is entered into between The Platform LLC (“The Platform”), and you (“Member” or “Members”). The Platform is a boutique fitness studio offering group fitness classes. This Agreement entitles members access to participate in these classes and to enjoy other amenities offered including but not limited to: lockers, changing rooms, and showers, unless noted otherwise.
Please review this Agreement thoroughly as it is a legal contract between The Platform and all members.
By using the services offered at The Platform, members are agreeing to the terms of this Agreement.
1.1 Integration with Other Policies
This Membership Agreement incorporates and works in conjunction with:
- The Platform Exercise Waiver and Liability Release (required separate signature).
- The Platform Privacy Policy.
- The Platform Cancellation Policy.
- Any additional policies posted at the studio or on our website.
In case of conflicts between documents, the most recently updated policy shall govern the specific subject
matter.
- MEMBERSHIP TYPES & CONTRACT LENGTHS
2.1 Annual Memberships
- Platform Pioneer (Founders): Founders lower rate. Pay in full, 12-month commitment.
- Platform Gold: Pay in full, 12-month commitment.
2.2 Monthly Memberships - Platform Silver: 2 classes per day and monthly auto renew. 4-weeks’ notice period.
- Platform Bronze: 1 class per day and monthly auto renew. 4-weeks’ notice period.
2.3 Class Packages - Introductory Offer: 5 x class pack. Expires in 14-days after the date of first booking.
- 5 x Class Package: Valid for 30-days from purchase.
- 10 x Class Package: Valid for 30-days from purchase.
- 5 x Private Class: Valid for 30-days from purchase.
- Special Event Packages: Expiration terms specified at time of purchase.
2.4 Drop-In and Guest Passes - Single Class: Valid for the specific class booked.
- Guest Pass: Valid for one class within 14-days of purchase.
- Single Private: Valid for the specific class booked.
All membership types subject to terms outlined in this Agreement.
- PURCHASES AND PAYMENT
3.1 Payment Summary
Monthly memberships are paid in advance on the calendar date the membership was initially purchased.
Monthly membership payments shall be made via automatic debit (credit card, debit card, or bank account draft) from the payment method on file.
3.2 Failed Payment Procedures
In the event of a declined payment:
- Immediate account suspension pending payment resolution.
- Email notification sent to member’s registered email address.
- 48-hour grace period to update payment information.
- $25 failed payment fee applied to account after grace period.
- Account termination if payment not resolved within 7 days.
3.3 Freeze Policy - Unlimited Monthly Members:
o First freeze per calendar year: No fee, up to 30 days maximum.
o Second freeze per calendar year: $25 fee, up to 30 days maximum.
o Additional freezes: $50 fee each, up to 30 days maximum.
o Minimum membership time: Must be active member for 60 days before first freeze.
o Advance notice: 7 business days written notice required via email to info@theplatform-studio.com.
o Documentation: Freeze request must specify start date and end date.
o Billing suspension: No charges during confirmed freeze period.
o Automatic reactivation: Billing resumes automatically on specified end date. - Package Holders:
o Class packages cannot be frozen or extended except for documented medical emergencies or death. - Contract Members:
o Freezes do not extend contract length.
o Contract obligations resume upon reactivation.
o Maximum 60 days total freeze time per contract year.
- CLASS CANCELLATION AND BOOKING POLICIES
4.1 Booking Responsibilities
Members are solely responsible for booking and cancelling classes through:
- Online account at www.theplatform-studio.com.
- The Platform mobile application.
- Phone during business hours: +1 (347) 609-5350.
4.2 Class Access & Sign-In
Members must check in no later than 5 minutes after scheduled class start time. Late arrivals may be denied entry and considered a no-show.
4.3 Cancellation Policy Integration
All class cancellations, fees, and booking procedures are governed by The Platform’s separate Cancellation Policy document. Key provisions include: - Standardized Fee Structure (All Membership Types):
o Late Cancellation (within 8 hours): $20 fee charged to payment method on file.
o No-Show (booked but not attended): $25 fee charged to payment method on file.
o Early Morning Classes: For classes beginning Monday-Friday before 6:30 AM, the cancellation cutoff is 10 PM the night before. - Waitlist Management:
o Automatic enrollment when spots become available before 8-hour window.
o After 8-hour window (or 10 PM for early morning classes): Must reply “1” to confirm reservation.
o Standard cancellation policy applies once enrolled from waitlist.
o Member responsibility to manage and cancel waitlist positions.

4.4 Fee Collection
All cancellation fees are charged to the credit card or bank account on file within 24 hours of the missed class. Members must maintain current payment information to avoid account suspension.
- PACKAGE PURCHASES; CREDIT CARDS ON FILE; AUTO DEBIT
5.1 Package Purchase Terms
- Packages cannot be shared between members unless specifically stated.
- Package activation occurs upon first class attended (not waitlisted).
- Specially priced packages may not be extended, transferred, refunded, or frozen.
- Package expiration dates are final and non-negotiable.
- The Platform will not adjust packages due to member booking errors or waitlist activations.
5.2 Credit Card Requirements - Unlimited and contract members: Must maintain current credit card on file.
- Package holders: Credit card required for cancellation fee collection.
- Payment authorization: Card on file may be charged for membership fees, cancellation fees, and
other account charges per this Agreement.
5.3 Auto-Debit Authorization
By enrolling in auto-debit billing, you authorize The Platform to automatically charge your specified
payment method for: - Monthly membership fees on your billing date.
- Cancellation fees per the Cancellation Policy.
- Failed payment fees and other account charges per this Agreement.
5.4 Member Responsibilities - Maintain current and accurate payment information.
- Ensure sufficient funds are available on billing dates.
- Update payment information before expiration or changes.
5.5 The Platform Rights - Discontinue service for failed payments.
- Remove members from future class bookings for payment failures.
- Charge applicable fees for failed payment processing.
- WAIVER REQUIREMENT & RISK ACKNOWLEDGMENT
6.1 Mandatory Waiver
All members must execute The Platform’s Exercise Waiver and Liability Release as a separate document
before participating in any classes or using studio facilities. This waiver includes:
- Assumption of risk for physical activities.
- Release of liability claims.
- Medical clearance representations.
- Emergency medical authorization.
6.2 Ongoing Risk Acknowledgment
By maintaining membership, you continuously acknowledge that fitness activities involve inherent risks and that you participate voluntarily with full understanding of these risks.
6.3 Compliance Requirements - Follow all posted safety rules and staff instructions.
- Comply with age-specific restrictions for minor participants.
- Report injuries or medical concerns immediately to staff.
- Maintain appropriate fitness level for chosen activities.
- MEMBERSHIP CANCELLATION BY MEMBER
7.1 Cancellation Notice Requirements You may cancel this Membership Agreement with seven (7) business days written notice to The Platform via:
- Email: info@theplatform-studio.com (preferred).
- Mail: 420 E 4th St, Long Beach, CA 90803.
- In-person: Studio front desk during business hours.
7.2 Contract Commitment Terms - Month-to-Month: Cancel anytime with 7 business days’ notice.
- Contract Memberships: Cancellation allowed only after contract completion or qualifying life
events.
7.3 Qualifying Life Events for Early Cancellation
Contract cancellations allowed before completion for documented: - Death of member.
- Permanent disability preventing class participation (physician documentation required).
- Military deployment (orders documentation required).
- Relocation more than 50 miles from studio (proof of residence required).
7.4 Outstanding Balance Requirements
All outstanding fees, charges, and payments must be paid in full before cancellation is processed. Unpaid
balances prevent cancellation completion and may result in collection action.
7.5 Final Billing - Timely notice: No charge for final billing period.
- Late notice: Full charge for next billing period applies.
- Cancellation effective: End of final paid billing period.
7.6 Package Cancellations
Class packages cannot be cancelled or refunded after purchase except for qualifying life events listed
above.
- MEMBER CONDUCT & RESPONSIBILITIES
8.1 Facility Rules
The Platform is committed to providing a safe, welcoming environment for all members. Members must:
- Follow all posted rules and staff instructions.
- Respect other members, staff, and studio property.
- Use equipment properly and safely.
- Maintain appropriate attire and hygiene standards.
8.2 Prohibited Conduct
The Platform will not tolerate: - Threatening, harassing, or discriminatory behavior.
- Disruptive or inappropriate conduct.
- Damage to studio property or equipment.
- Violation of other members’ privacy or safety.
8.3 Enforcement Actions
Violations may result in: - Warning: Verbal or written notice.
- Temporary suspension: Loss of access without refund.
- Membership termination: Immediate cancellation without refund.
- Property damage charges: Full repair/replacement costs.
The Platform reserves sole discretion in determining appropriate responses to conduct violations.
8.4 Damage Liability
Members are financially responsible for any damage to The Platform’s property resulting from willful or
negligent conduct by the member, their guests, or dependents.
- PHOTO/VIDEO RELEASE
You grant The Platform, its representatives, employees, and agents the right to photograph and video
record you and your property while at the studio. You agree that The Platform may use these images:
- For publicity, advertising, and promotional purposes.
- In print and electronic media, including social media and websites.
- With or without your name identification.
- For any lawful business purpose.
You may opt out of photo/video use by providing written notice to info@theplatform-studio.com.
- BUSINESS TERMS & MODIFICATIONS
10.1 Facility Access
- Access limited to designated member areas during operating hours.
- Hours subject to change with reasonable notice.
- Holiday and emergency closures at The Platform’s discretion.
- Virtual services may be substituted during temporary facility closures.
10.2 Service Modifications
The Platform reserves the right to: - Modify class schedules, instructors, and offerings.
- Adjust facility hours and access.
- Update equipment and amenities.
- Implement health and safety protocols.
10.3 Policy Updates
This Agreement and related policies may be modified with 30 days advance notice via: - Email to registered member addresses.
- Posted notices at the studio.
- Website updates at www.theplatform-studio.com.
Continued membership after notice period constitutes acceptance of modifications.
10.4 Governing Law
This Agreement is governed by California law. Any disputes shall be resolved in Los Angeles County,
California courts.
- RIGHT TO CANCEL
California Residents: You may cancel this Agreement within five (5) business days of signing without penalty or obligation. To exercise this right, provide written notice via:
- Email: info@theplatform-studio.com.
- Mail: The Platform LLC, 420 E 4th St, Long Beach, CA 90803.
- In-person delivery during business hours.
This right applies only to the initial membership purchase and does not extend to subsequent renewals or
modifications.
